1. Agreement to Terms
Welcome to AmbaPay (the "App"), a digital wallet application powered by Awash Bank (the "Bank", "we", "us", or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and AmbaPay governing your use of the AmbaPay application and related services.
By downloading, installing, accessing, or using AmbaPay, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App and should uninstall it immediately.
2. About AmbaPay
2.1 Service Description
AmbaPay is a digital wallet application powered by Awash Bank. We are a wallet service provider. AmbaPay enables you to:
- Store money in a digital wallet
- Send and receive money within the AmbaPay ecosystem
- Make payments for services
2.2 Relationship with Awash Bank
AmbaPay is a service powered partly by Awash Bank. Your use of AmbaPay is subject to Awash Bank's banking terms and conditions, and your account may be linked to your banking relationship with Awash Bank.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use AmbaPay. By using the App, you represent and warrant that you are at least 18 years of age.
3.2 Legal Capacity
You must have the legal capacity to enter into binding contracts in your jurisdiction. If you are using AmbaPay on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3.3 Prohibited Users
You may not use AmbaPay if:
- You are located in a jurisdiction where the use of digital wallet services is prohibited
- You are subject to sanctions or restrictions imposed by any government or regulatory authority
- You have been previously banned or suspended from using AmbaPay
- You intend to use the service for illegal or fraudulent purposes
4. Account Registration and Security
4.1 Account Creation
To use AmbaPay, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Provide valid identification documents as required
- Complete any identity verification processes
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
- Using strong PINs and using biometric authentication (if available)
4.3 Account Verification
We may require you to verify your identity through various means, including but not limited to:
- Government-issued identification
- Tax Identification Number (TIN)
- Biometric verification
- Additional documentation as required by law or regulation
5. Wallet Services
5.1 Wallet Functionality
Your AmbaPay wallet allows you to:
- Load funds from linked bank accounts or other payment methods
- Store funds in your digital wallet
- Transfer funds to other AmbaPay users
- Make payments to merchants and service providers
- Withdraw funds to linked bank accounts
5.2 Transaction Limits
We may impose transaction limits on your account, including:
- Daily transaction limits
- Monthly transaction limits
- Per-transaction limits
- Limits on the number of transactions per day
These limits may vary based on your account verification level, usage history, and regulatory requirements.
5.3 Transaction Processing
- Transactions are typically processed immediately but may be subject to review
- We reserve the right to delay, block, or reverse transactions for security, compliance, or risk management purposes
- You cannot cancel a transaction once it has been completed
- Refunds are subject to the policies of the merchant or recipient
6. Fees and Charges
6.1 Service Fees
We may charge fees for certain services, including but not limited to:
- Transaction fees
- Withdrawal fees
- Premium service fees
All fees will be clearly disclosed before you complete a transaction. Fees are subject to change with prior notice.
6.2 Third-Party Fees
You may incur fees from:
- Your mobile network operator for data usage
- Your bank or payment card issuer
- Merchants or service providers
We are not responsible for fees charged by third parties.
7. Prohibited Activities
You agree not to use AmbaPay for any illegal, fraudulent, or unauthorized purpose, including but not limited to:
7.1 Illegal Activities
- Money laundering
- Fraud or theft
- Tax evasion
- Violation of any applicable laws or regulations
- Terrorist financing
7.2 Prohibited Transactions
- Transactions involving illegal goods or services
- Gambling or betting (where prohibited)
- Transactions with sanctioned individuals or entities
- Transactions that violate intellectual property rights
- Transactions that violate the rights of third parties
7.3 System Abuse
- Attempting to hack, disrupt, or interfere with the App or our systems
- Using automated systems or bots to access the App
- Reverse engineering or attempting to extract source code
- Distributing malware or viruses
8. Intellectual Property
8.1 Ownership
All content, features, and functionality of AmbaPay, including but not limited to:
- Software code
- User interface design
- Logos and trademarks
- Documentation
- Graphics and images
are owned by Amba Pay and are protected by copyright, trademark, and other intellectual property laws.
8.2 License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use AmbaPay for personal, non-commercial purposes in accordance with these Terms.
8.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the App
- Redistribute, sublicense, or sell the App
- Remove or alter any copyright, trademark, or proprietary notices
- Use our trademarks or logos without our written permission
9. Disclaimers and Limitations of Liability
9.1 Service Availability
We strive to provide continuous, reliable service but do not guarantee that:
- The App will be available
- The App will be error-free or uninterrupted
- All features will function perfectly
- The App will meet all your requirements
9.2 No Warranty
AMBAPAY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMBA PAY SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS OR USE
- DAMAGES RESULTING FROM SYSTEM FAILURES OR INTERRUPTIONS
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.4 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.
10. Indemnification
You agree to indemnify, defend, and hold harmless Awash Bank, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of AmbaPay
- Your violation of these Terms
- Your violation of any law or regulation
- Your infringement of any rights of third parties
11. Account Suspension and Termination
11.1 Termination by You
You may terminate your account at any time by:
- Contacting customer support
- Following the account closure process in the App
- Uninstalling the App (subject to account closure procedures)
11.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- We are required to do so by law or regulation
- You pose a risk to the security or integrity of our services
- You fail to pay any fees or charges
11.3 Effect of Termination
Upon termination:
- Your right to use AmbaPay will immediately cease
- We may cancel pending transactions
- You remain liable for all obligations incurred prior to termination
- We may retain your information as required by law
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ethiopia, without regard to its conflict of law provisions.
12.2 Dispute Resolution Process
In the event of any dispute arising out of or relating to these Terms or your use of AmbaPay:
- You agree to first contact our customer support to attempt to resolve the dispute
- If the dispute cannot be resolved through customer support, you agree to participate in good faith in any alternative dispute resolution process we may offer
- If the dispute remains unresolved, it shall be subject to the exclusive jurisdiction of the courts of Ethiopia
13. Regulatory Compliance
13.1 Banking Regulations
AmbaPay operates in compliance with:
- Ethiopian banking and financial services regulations
- Anti-money laundering (AML) laws
- Counter-terrorism financing (CTF) requirements
- Know Your Customer (KYC) regulations
- Data protection and privacy laws
13.2 Your Obligations
You agree to:
- Comply with all applicable laws and regulations
- Provide accurate information for regulatory compliance
- Cooperate with any regulatory inquiries or investigations
- Report any suspicious activities
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms in the App
- Sending you a notification
- Updating the "Last Updated" date
Your continued use of AmbaPay after such changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App and close your account.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Awash Bank regarding your use of AmbaPay.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

We may provide notices to you through:
- The App
- Email to the address associated with your account
- SMS to the phone number associated with your account
- Postal mail to the address on file

- You understand that AmbaPay is a wallet service provided by Awash Bank, not a remittance provider
- You will comply with all applicable laws and regulations
- You are responsible for maintaining the security of your account
